FIH.com Terms of Use
Effective Date: August 11, 2025
1. Introduction
FIH, LLC (“FIH.com,” “we,” “us,” or “our”) operates a marketplace platform and brokerage for online business owners and high-net-worth investors. These Terms of Use (“Agreement”) govern access to and use of the FIH.com website (the “Website”) and all related services, including the brokerage and transactional services to sell or acquire assets or businesses through FIH.com (the “Services”).
By using the Website or Services, you agree to be bound by this Agreement. If you do not agree, you must immediately cease all use. We may amend these Terms at any time in our sole discretion. Your continued use after the Effective Date of any amendment constitutes acceptance.
2. Definitions

User: Any person or entity registered with FIH.com.

Seller: A User that has submitted a business for sale through the Services.

Buyer: A User that has accessed Confidential Information for a listed business.

Business: A Seller’s overall business offered under one or more brand names.

Assets: All assets, tangible and intangible, associated with a Business.

Customer Data: All information, data, and materials provided by Users, Sellers, or Buyers to FIH.com, including contact details, business data, financial data, transaction history, and communications.
3. Registration and Eligibility
To use the Services, you must register an account, provide accurate and current information, maintain confidentiality of your login credentials, and have full legal authority to bind yourself or your organization. Users must be at least 18 years of age or the legal age of majority in their jurisdiction, whichever is greater.
4. Ownership and Use of Customer Data
All Customer Data shall be and remain the sole and exclusive property of FIH.com. We may collect, store, analyze, use, transfer, and disclose Customer Data for any lawful business purpose, including marketing, analytics, due diligence, and improving our Services. We may use and share aggregated or anonymized Customer Data without restriction.
5. Listing Process and Confidential Information
Sellers must submit complete and truthful information. FIH.com reserves sole discretion to approve or reject listings. Seller Confidential Information remains the property of Seller but may be disclosed to Buyers as necessary to facilitate transactions, subject to the confidentiality restrictions herein.
Buyers must not use Confidential Information for any purpose other than evaluating a business for purchase and are prohibited from circumventing FIH.com or engaging in any competing use of the information.
6. Exclusive Listing Term
Upon listing approval, Sellers grant FIH.com the exclusive right to list and market the Business for a two-month listing term (“Listing Term”), renewable only in writing. During the Listing Term, Seller may not list, solicit, or sell the Business through any other channel.
7. Fee and Commission Protection
Seller shall pay FIH.com a commission based on the final purchase price as follows:

7% on the first $4,000,000

5% on $4,000,001 to $10,000,000

3% on $10,000,001 to $50,000,000

2% on $50,000,001 and above
The commission is earned and payable in full upon any transaction during the Listing Term or within 24 months thereafter with any party who became aware of the Business through FIH.com, regardless of whether the transaction is structured to avoid payment.
Buyers and Sellers are jointly and severally liable for the commission if a transaction is consummated in violation of these Terms.
8. Transactions and Migration
All offers must be submitted through FIH.com. Buyer and Seller are obligated to complete any transaction accepted by both parties. The Migration Process shall be conducted in good faith and completed as promptly as possible.
9. Buyer and Seller Due Diligence
Each party is solely responsible for conducting its own due diligence. FIH.com makes no warranty regarding the accuracy or completeness of any information provided by Buyers, Sellers, or third parties.
10. Release of Claims
To the fullest extent permitted by law, all Users, Buyers, and Sellers release and forever discharge FIH.com, its affiliates, officers, directors, employees, contractors, and agents from any and all claims, demands, losses, liabilities, damages, costs, and expenses, whether known or unknown, arising out of or in any way related to the Website, Services, or any transaction, except for claims directly resulting from FIH.com’s gross negligence or willful misconduct.
11. Limitation of Liability
EXCEPT FOR LIABILITY ARISING FROM FIH.COM’S GROSS NEGLIGENCE OR WILLFUL MISCONDUCT, FIH.COM’S TOTAL LIABILITY SHALL NOT EXCEED THE GREATER OF $1,000 OR THE AMOUNT PAID BY YOU TO FIH.COM FOR THE SERVICES.
FIH.COM SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
12. Indemnification
Users agree to indemnify and hold harmless FIH.com from any claims, liabilities, damages, or expenses (including attorneys’ fees) arising from:

Use of the Website or Services

Any breach of this Agreement

Any transaction facilitated by FIH.com
13. Confidentiality Obligations
Buyers and Sellers shall maintain strict confidentiality regarding Confidential Information and this Agreement, except as required by law or with written consent.
14. Dispute Resolution and Governing Law
This Agreement is governed by the laws of the State of Ohio. Any disputes shall be brought exclusively in state or federal courts in Hamilton County, Ohio. The prevailing party is entitled to recover reasonable attorneys’ fees and costs.
15. Miscellaneous

Supersession Clause: This Agreement supersedes and replaces all prior agreements, including all prior non-disclosure or confidentiality agreements between the parties, whether written or oral, relating to its subject matter.

No Waiver: Failure to enforce any provision is not a waiver of that provision.

Severability: If any provision is invalid, the remainder remains enforceable.

Force Majeure: Neither party is liable for delays or failures due to causes beyond their reasonable control.
Entire Agreement: This Agreement constitutes the entire agreement between you and FIH.com and may only be amended in writing signed by FIH.com.
